1. Our Services

Code Craft Circle is a digital technology agency providing solutions including, but not limited to:

The information available on this website is for general informational purposes only and does not constitute a binding offer unless confirmed through a written proposal or agreement.

2. Project Scope & Agreements

Every project undertaken by Code Craft Circle is governed by a mutually agreed proposal, quotation, Statement of Work (SOW), or written agreement.

Project deliverables, pricing, timelines, revisions, and milestones are defined within the approved project documents.

Any requests outside the originally agreed scope may require additional time, revised pricing, or a separate agreement.

Where there is any inconsistency between these Terms and a signed project agreement, the signed agreement shall prevail.

3. Payments

Payment terms are specified in the approved quotation or proposal.

Depending on the nature of the project, payments may be structured as:

• Advance payment
• Milestone-based payments
• Monthly retainers
• Final payment upon project completion

Code Craft Circle reserves the right to suspend ongoing work or withhold final deliverables until all outstanding invoices have been paid.

Unless otherwise agreed, ownership of completed deliverables transfers to the Client only after full payment has been received.

4. Client Responsibilities

Clients agree to:

• Provide accurate project requirements and information.
• Supply required content, branding assets, credentials, and approvals on time.
• Review submitted work within a reasonable period.
• Ensure they possess the legal rights to any materials supplied to us.

Project timelines may be extended where delays are caused by incomplete information, late approvals, or changes requested by the Client.

5. Intellectual Property

Upon full payment, ownership of the final agreed project deliverables transfers to the Client unless otherwise agreed in writing.

Code Craft Circle retains ownership of its internal tools, reusable code, development frameworks, templates, design systems, methodologies, and other proprietary assets used during project development.

Clients retain ownership of all content, trademarks, logos, images, and materials supplied by them.

6. Third-Party Services, Domains & Hosting

Projects may involve third-party services, software, APIs, cloud platforms, hosting providers, payment gateways, domain registrars, or other external technologies.

Examples include Firebase, AWS, Google Cloud, Hostinger, GoDaddy, Namecheap, Cloudflare, OpenAI, Stripe, Razorpay, GitHub, Figma, and similar services.

Where possible, domains, hosting accounts, cloud services, email services, SSL certificates, and third-party subscriptions should be registered using the Client's own name, contact details, and payment information.

If Code Craft Circle purchases or manages any such services on behalf of the Client, it does so solely as an administrative convenience. Unless otherwise agreed in writing, ownership of these services will be transferred to the Client upon full payment and completion of the project.

Code Craft Circle is not responsible for outages, pricing changes, policy updates, account suspensions, security incidents, or other issues arising from third-party providers.

7. Confidentiality & Portfolio

Both parties agree to keep confidential any proprietary information shared during the course of a project unless disclosure is required by law.

Unless otherwise agreed in writing or protected by a Non-Disclosure Agreement (NDA), Code Craft Circle may display completed projects, screenshots, branding, technologies used, and publicly available deliverables within its portfolio, website, and marketing materials.

8. Cancellation & Refunds

Either party may terminate a project by providing written notice.

The Client shall remain responsible for payment of all work completed up to the termination date.

Due to the customised nature of software development and digital services, payments for completed work are generally non-refundable.

Expenses incurred for third-party software, hosting, domains, licenses, subscriptions, or similar services are non-refundable.

9. Disclaimer & Limitation of Liability

Our services are provided with reasonable professional skill and care. However, we do not guarantee uninterrupted website availability, compatibility with every future platform update, specific business outcomes, search engine rankings, or complete protection against all cybersecurity threats.

Where our services include AI-assisted development or content generation, Clients are responsible for reviewing and approving all outputs before production use.

To the fullest extent permitted by applicable law, Code Craft Circle shall not be liable for indirect, incidental, or consequential losses including loss of profits, revenue, business opportunities, or data.

Our maximum liability arising from any project shall not exceed the total amount paid by the Client for that specific project.

10. Acceptable Use & Client Responsibility

The Client agrees not to use any website, application, software, or digital solution developed by Code Craft Circle for any unlawful, fraudulent, abusive, or prohibited purpose.

Prohibited activities include, but are not limited to:

• Fraud or financial crimes
• Phishing or impersonation
• Distribution of malware or harmful software
• Unauthorized collection of personal information
• Copyright or intellectual property infringement
• Illegal gambling
• Sale or promotion of prohibited goods or services
• Any activity that violates applicable laws or regulations

Following project delivery, the Client assumes full responsibility for the operation, management, content, and use of the website or application.

Except where directly caused by our own negligence or breach of contract, Code Craft Circle shall not be liable for any claims, investigations, legal proceedings, damages, or losses arising from the Client's use or misuse of the delivered solution.

We reserve the right to suspend or terminate services if we reasonably believe our services are being used for unlawful or unethical activities.

11. Privacy

Your use of our website is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information.

By using our website, you acknowledge that you have read and understood our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Thane, Maharashtra, India.
